1. What This Agreement Covers

Paul Walhus ("Paul") will build a network of professional, SEO-optimized real estate websites for The Bergeron Group ("Nancy"), each targeting specific markets, neighborhoods, and buyer types in the Hot Springs, Arkansas area.

You control the pace. There is no minimum number of sites per month. You decide how fast or slow we build. If you want 8 sites in April and 3 in May, that's fine. If you want to pause for a month, that's fine too. You're never locked into a number you're not comfortable with.

What's NOT included in the per-site fee (paid at cost by Nancy):

Paul will recommend domains and hosting but will not purchase anything without Nancy's approval. All costs are reimbursed at cost with no markup.

3. Lead Generation & Performance Compensation

In addition to site development fees, Paul is compensated for the ongoing marketing value his websites generate for The Bergeron Group. This compensation recognizes that Paul's sites are purpose-built lead-generation assets that produce measurable business results.

3a. Lead Attribution

Every website in the network includes built-in lead source tracking. When a prospective buyer or seller submits a contact form, the system records:

A lead is considered "Paul-generated" when it originates from a contact form submission on any website built and maintained by Paul under this agreement. Leads arriving through other channels (CINC/Sync, direct referrals, open houses, sign calls, existing database contacts, social media, or paid advertising not managed by Paul) are excluded.

Why this matters: If someone fills out a form on hotspringsrvpark.com looking for an RV park property, there is zero ambiguity — that lead exists only because Paul built that niche site. The source tag is automatic, timestamped, and included in every lead notification email.

3b. Monthly Lead Report

Paul will provide a monthly lead attribution report showing:

Nancy agrees to provide quarterly updates on which Paul-generated leads converted to active clients and which resulted in closed transactions, so that both parties can evaluate the network's ROI and prioritize future site development.

3c. Performance Compensation Structure

Paul's performance compensation is structured as a marketing services performance fee — not a real estate referral fee or commission split — and is paid in recognition of the digital marketing infrastructure that produced the lead.

Nancy and Paul will agree on specific amounts before signing. The blank fields above are intentional — this is a negotiation, not a demand.

If there is a disagreement about whether a lead qualifies as "Paul-generated," both parties will review the lead source data together. The automated source tag from the contact form submission is the primary evidence. If the lead's first point of contact with The Bergeron Group was through a Paul-built website, it is Paul-generated — even if the lead later also contacts The Bergeron Group through other channels.

3f. 90-Day Review

Both parties agree to review the performance compensation structure after 90 days of the first sites going live. At that point, with real data on lead volume, lead quality, and conversion rates, both parties may renegotiate the per-lead and per-transaction amounts by mutual agreement. If no new terms are agreed upon, the original terms remain in effect.

4. Getting Started — Phase 1

To get the network rolling, the initial plan is:

This is a target, not a commitment. If you'd prefer to start with fewer sites — say 5 instead of 8 — we adjust. The priority sites are chosen together, and you approve each one before I build it. Nothing gets built that you haven't agreed to.

After Phase 1, we'll review results together and decide on the pace going forward based on what's working and what fits your budget.

Both parties agree that the multi-site strategy, domain portfolio, and competitive positioning are strictly confidential. Paul will not disclose any project details to third parties without Nancy's written consent. This obligation survives the end of this agreement.

If mutually convenient, Nancy may offer shared workspace at the office (801 Central Ave, Ste 30) for Paul to use during the project. This is optional and at-will — either party can adjust this arrangement at any time.

By signing below, both parties agree to the terms outlined above. This is a straightforward working agreement — no hidden terms, no surprises. Nancy controls the pace, owns everything, and can pause or stop at any time.
