1. What This Agreement Covers
Paul Walhus ("Paul") will build a network of professional, SEO-optimized real estate websites for The Bergeron Group ("Nancy"), each targeting specific markets, neighborhoods, and buyer types in the Hot Springs, Arkansas area.
Each website includes:
- Custom design with Bergeron Group and Keller Williams branding
- Mobile-responsive layout that works on all devices
- SEO optimization — Schema.org data, meta tags, FAQ sections
- Contact form with lead source tracking (you'll know which site each lead came from)
- Cross-linking to the hub site and other sites in the network
- Google Analytics and Search Console setup
- Custom domain configuration with SSL
2. Pricing

You control the pace. There is no minimum number of sites per month. You decide how fast or slow we build. If you want 8 sites in April and 3 in May, that's fine. If you want to pause for a month, that's fine too. You're never locked into a number you're not comfortable with.
What's NOT included in the per-site fee (paid at cost by Nancy):
- Domain registrations — approximately $10-15 per domain per year
- Web hosting — we'll find the most cost-effective option together
Paul will recommend domains and hosting but will not purchase anything without Nancy's approval. All costs are reimbursed at cost with no markup.
3. Lead Generation & Performance Compensation
In addition to site development fees, Paul is compensated for the ongoing marketing value his websites generate for The Bergeron Group. This compensation recognizes that Paul's sites are purpose-built lead-generation assets that produce measurable business results.
3a. Lead Attribution
Every website in the network includes built-in lead source tracking. When a prospective buyer or seller submits a contact form, the system records:
- Which website generated the lead (e.g., "hotspringsrvpark.com")
- Date and time of submission
- All contact information provided by the lead
A lead is considered "Paul-generated" when it originates from a contact form submission on any website built and maintained by Paul under this agreement. Leads arriving through other channels (CINC/Sync, direct referrals, open houses, sign calls, existing database contacts, social media, or paid advertising not managed by Paul) are excluded.
Why this matters: If someone fills out a form on hotspringsrvpark.com looking for an RV park property, there is zero ambiguity — that lead exists only because Paul built that niche site. The source tag is automatic, timestamped, and included in every lead notification email.
3b. Monthly Lead Report
Paul will provide a monthly lead attribution report showing:
- Total leads per site
- Lead contact details and inquiry type
- Google Analytics traffic data per site
- Keyword ranking progress
Nancy agrees to provide quarterly updates on which Paul-generated leads converted to active clients and which resulted in closed transactions, so that both parties can evaluate the network's ROI and prioritize future site development.
3c. Performance Compensation Structure
Paul's performance compensation is structured as a marketing services performance fee — not a real estate referral fee or commission split — and is paid in recognition of the digital marketing infrastructure that produced the lead.

Typical ranges to discuss:
- Per qualified lead: $50 – $150 (depends on volume expectations)
- Per closed transaction: $500 – $1,500 flat fee, OR a percentage of Paul's marketing fees for that quarter, OR a tiered bonus (e.g., $500 for transactions under $250K, $1,000 for $250K–$500K, $1,500 for $500K+)
Nancy and Paul will agree on specific amounts before signing. The blank fields above are intentional — this is a negotiation, not a demand.
3d. Payment of Performance Compensation
- Qualified Lead Bonuses are tallied monthly and included in the next monthly invoice
- Closed Transaction Bonuses are payable within 14 days of closing
- Nancy will notify Paul of any closed transaction involving a Paul-generated lead within 7 business days of closing
3e. Dispute Resolution
If there is a disagreement about whether a lead qualifies as "Paul-generated," both parties will review the lead source data together. The automated source tag from the contact form submission is the primary evidence. If the lead's first point of contact with The Bergeron Group was through a Paul-built website, it is Paul-generated — even if the lead later also contacts The Bergeron Group through other channels.
3f. 90-Day Review
Both parties agree to review the performance compensation structure after 90 days of the first sites going live. At that point, with real data on lead volume, lead quality, and conversion rates, both parties may renegotiate the per-lead and per-transaction amounts by mutual agreement. If no new terms are agreed upon, the original terms remain in effect.
4. Getting Started — Phase 1
To get the network rolling, the initial plan is:

This is a target, not a commitment. If you'd prefer to start with fewer sites — say 5 instead of 8 — we adjust. The priority sites are chosen together, and you approve each one before I build it. Nothing gets built that you haven't agreed to.
After Phase 1, we'll review results together and decide on the pace going forward based on what's working and what fits your budget.
5. Payment Terms
- Website builds are invoiced in small batches as sites are completed (typically 2-4 sites at a time)
- Domain Management is invoiced monthly based on number of live sites
- Payment is due within 14 days of invoice date
- Accepted payment methods: __________________ (check / Zelle / Venmo / other)
6. What Nancy Provides
- Domain registrar access — GoDaddy and/or Netfirms login (or DNS management access) so Paul can point domains to their new sites
- Domain list — CSV export from GoDaddy for planning purposes
- Feedback — timely review of website content and design (typically 48 hours)
- Brand assets — logos, photos, KW branding guidelines
- Approval — for any new domain registrations before Paul registers them
7. You Own Everything
- All websites, content, and design assets are owned by Nancy / The Bergeron Group upon payment
- All domain names registered on Nancy's behalf are owned by Nancy
- All platform accounts (Google Analytics, Search Console, form services) are created under Nancy's accounts and owned by Nancy
- If this agreement ends for any reason, Nancy keeps everything — every site, every file, every login
8. Confidentiality
Both parties agree that the multi-site strategy, domain portfolio, and competitive positioning are strictly confidential. Paul will not disclose any project details to third parties without Nancy's written consent. This obligation survives the end of this agreement.
9. Flexibility & Pausing
- Nancy may pause new site development at any time with written notice. No fees are charged during paused periods except Domain Management for existing live sites.
- Nancy may adjust the pace — more sites per month or fewer — at any time by mutual agreement
- Either party may end this agreement with 30 days written notice
- Upon ending, Nancy pays for all completed work, and Paul delivers all files and access within 14 days
10. Revisions
- Each website includes up to 2 rounds of revisions after Nancy reviews it
- Additional revisions beyond that are billed at $40/hour
- Any new services or expanded scope will be discussed and agreed upon before work begins
11. Workspace
If mutually convenient, Nancy may offer shared workspace at the office (801 Central Ave, Ste 30) for Paul to use during the project. This is optional and at-will — either party can adjust this arrangement at any time.
12. Expectations
- Paul will follow SEO best practices to maximize visibility, but cannot guarantee specific Google rankings — those are determined by third-party algorithms
- Paul is not liable for issues caused by third-party services (hosting, domain registrars, form providers)
- Paul's total liability shall not exceed fees paid in the preceding 3 months
13. Agreement
By signing below, both parties agree to the terms outlined above. This is a straightforward working agreement — no hidden terms, no surprises. Nancy controls the pace, owns everything, and can pause or stop at any time.
