1. Scope of Work
Paul Walhus ("Provider") will deliver the following services to The Bergeron Group ("Client"):
A. Website Development
Provider will design, develop, and deploy a network of SEO-optimized real estate websites for the Client, each targeting specific real estate markets, neighborhoods, and buyer segments in the Hot Springs, Arkansas area.
- Each website is a custom, mobile-responsive, SEO-optimized site with unique content
- Each site includes Schema.org structured data, Open Graph tags, FAQ sections, and contact forms
- All sites are cross-linked to form a strategic backlink network
- Sites are deployed to agreed-upon hosting with custom domain configuration, SSL, and analytics
2. Pricing & Payment

Payment Terms
- Website builds are invoiced in batches upon completion and deployment of each batch
- Domain Management fees are invoiced monthly based on the number of live sites
- Payment is due within 14 days of invoice date
- Accepted payment methods: __________________ (check / Zelle / Venmo / other)
Client-paid costs: Domain registration fees (approximately $10-15 per domain per year) and web hosting costs are the responsibility of the Client. Provider will recommend hosting and register domains on the Client's behalf with prior approval, to be reimbursed at cost.

Timelines are estimates and may be adjusted by mutual agreement. Provider will communicate any anticipated delays promptly.
4. Client Responsibilities
To enable timely delivery, the Client agrees to provide:
- Domain registrar access: Login credentials for GoDaddy and Netfirms accounts (or delegate DNS management permissions) so Provider can configure domains
- Domain list export: CSV export of all domains from GoDaddy for audit and planning purposes
- Content input: Timely review and feedback on website content, photos, and branding materials
- Brand assets: Logos, professional photos, Keller Williams branding guidelines, and Realtor® trademark requirements
- Domain registration approval: Timely approval for registering new domains as recommended by Provider
5. Ownership & Intellectual Property
- All completed websites, content, and design assets created under this agreement are owned by the Client upon full payment
- Provider retains the right to use work samples in a private portfolio (not public, per confidentiality agreement)
- Client-provided materials (logos, photos, branding) remain the property of the Client
- Domain names registered on the Client's behalf are owned by the Client
6. Confidentiality
Both parties agree that the details of this project — including the multi-site SEO strategy, domain portfolio, website network architecture, and competitive positioning — are strictly confidential.
- Provider will not disclose project details, strategies, or domain plans to any third party without the Client's written consent
- Provider's subcontractors and team members will be bound by the same confidentiality obligations
- This obligation survives the termination of this agreement
This confidentiality clause reflects the verbal agreement made on March 20, 2026 between Paul Walhus and Nancy Bergeron to protect the Client's competitive advantage.
7. Termination
- Either party may terminate this agreement with 30 days written notice
- Upon termination, Client will pay for all completed work and services rendered through the termination date
- Provider will deliver all completed files, credentials, and access to the Client within 14 days of termination
- Monthly recurring services end at the close of the current billing period following notice
8. Revisions & Scope Changes
- Each website includes up to 2 rounds of revisions after initial delivery
- Additional revisions or significant scope changes beyond the original site concept will be billed at $40/hour
- New services or expanded scope will be agreed upon in writing before work begins
9. Workspace
If mutually agreed, the Client may provide shared workspace at the Client's office (801 Central Ave, Ste 30, Hot Springs, AR 71901) for the Provider to use during the project. This arrangement is at-will and may be adjusted by either party at any time.
10. Limitation of Liability
- Provider is not responsible for search engine ranking results, as rankings are determined by third-party algorithms beyond Provider's control. Provider will follow SEO best practices to maximize visibility.
- Provider's total liability under this agreement shall not exceed the total fees paid by the Client in the preceding 3 months
- Provider is not liable for any loss of data or business interruption caused by third-party services (hosting providers, domain registrars, form services)
11. Agreement
By signing below, both parties agree to the terms outlined in this Service Agreement.
